1. Introduction

These Terms govern your use of High Engage, an AI-powered chatbot and customer engagement platform operated by Engage2Serve Inc. (E2S) (“we”, “us”, “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Changes to Terms

We may update these Terms from time to time. Continued use after updates constitutes acceptance.

3. Accounts & Eligibility

  • You must provide accurate and complete registration information
  • You are responsible for all activity under your account
  • Account sharing is prohibited unless explicitly allowed by your plan

We may suspend or terminate accounts with false or misleading information.

4. License & Acceptable Use

We grant you a limited, non-transferable, revocable license to use the Service for internal business purposes.

You may not:

  • Resell, sublicense, or reverse engineer the Service
  • Use the Service for unlawful, abusive, or deceptive activities
  • Upload malicious code or infringing content

Violation may result in immediate suspension or termination.

5. AI Usage & Model Disclosure

The Service uses artificial intelligence, including multiple third-party large language models (LLMs), to generate responses.

You acknowledge that:

  • AI outputs may be inaccurate or incomplete
  • AI responses are provided “as is”
  • You are responsible for reviewing and validating outputs

The Service is not a substitute for professional advice (legal, medical, financial, etc.).

6. Customer Data & Content

  • You retain ownership of all data you upload (“Customer Content”)
  • You grant E2S a limited license to process content solely to provide the Service
  • We do not use private customer data to train public AI models

Data usage is governed by our Privacy Policy and DPA.

7. Subscriptions, Usage & Billing

  • Usage limits are defined by your subscription plan
  • Exceeding limits may result in throttling or suspension
  • Fees are billed on a recurring basis and are non-refundable unless required by law

Taxes, if applicable, are your responsibility.

8. Third-Party Integrations

The Service may integrate with third-party tools and platforms.

  • Use of third-party services is governed by their terms
  • E2S is not responsible for third-party availability or performance

9. Communications

You consent to receive service-related communications via email or in-app notifications. Marketing communications may be opted out where legally required.

10. Feedback

Any feedback you provide may be used by e2s without restriction or compensation.

11. Intellectual Property

All Service-related intellectual property belongs to e2s. No rights are granted except as expressly stated.

12. Disclaimer of Warranties

The Service is provided “as is” without warranties of any kind. We do not guarantee uninterrupted, secure, or error-free operation.

13. Limitation of Liability

To the maximum extent permitted by law:

  • e2s’s total liability shall not exceed fees paid in the preceding 12 months
  • e2s is not liable for indirect or consequential damages

14. Termination

We may suspend or terminate access for violations, non-payment, or legal risk. Upon termination, your right to use the Service ends immediately.

15. Indemnification

You agree to indemnify e2s against claims arising from your use of the Service or violation of these Terms.

16. Governing Law

These Terms are governed by the laws of Singapore.

17. Miscellaneous

  • These Terms constitute the entire agreement
  • Claims must be brought within one (1) year

Invalid provisions do not affect remaining terms
